Senior Paralegal Full-time

ICF is seeking a Senior Corporate Paralegal to join our Legal Affairs team at our global headquarters in Fairfax, VA (moving to Reston in October). As a Senior Corporate Paralegal, you will be responsible for performing a variety of legal assignments, including traditional corporate governance matters and supporting other objectives within the department. The position is hybrid: Usually 2 days in the office and other days working remotely. Key Duties and Responsibilities The successful candidate may perform services individually or as part of a team to meet a wide variety of department requirements, including, but not limited to: Corporate, Securities & Transactional Matters:
  • Assist with preparation for the company?s annual stockholders meeting, including inputting, tracking and reviewing data for the annual proxy statement and interfacing with proxy service providers and provider portals, such as DTC, Broadridge, and transfer agent
  • Prepare and assist with filing corporate documentation, including to form corporations, partnerships, limited liability companies in the U.S. and foreign countries, and for amendments, withdrawals, mergers, consolidations and dissolutions of the same
  • Track and maintain Business License catalog for domestic subsidiaries
  • Manage, track and maintain foreign qualifications for international entities and branches
  • Assist with preparation of SEC filings, including 8-Ks and related communications or notifications to NASDAQ and the transfer agent, such as Marketwatch filings and dividend declarations
  • Prepare for review and file Section 16 reporting documentation
  • Support closing activities for transactions and others matters, including obtaining documentations, certificates and related materials
  • Assist in development and drafting of corporate governance and corporate secretarial procedures, including preparation of materials for Board of Director and committee meetings
Department Files:
  • Maintain and keep up to date all corporate minute books and corporate seals
  • Manage, track for completeness, and maintain the department?s physical and electronic files
  • Create, update, and maintain databases and other legal resources, as appropriate.
Other Responsibilities:
  • Provide support to department attorneys in the Office of General Counsel and other members of the group on a range of legal matters.
  • Ensure strict adherence to confidentiality obligations in handling privileged, proprietary and other sensitive material.
  • Manage legal projects and matters, as assigned.
Required Experience
  • 8+ years paralegal or equivalent experience
  • Bachelor?s degree, Arts & Sciences, Business or related field
  • Highly skilled in standard office software (MS Office, Sharepoint, Adobe, etc.) and able to quickly adapt to new technologies deployed by the department and across the company
  • Experience with third party provider board/entity management websites (Diligent, CTAdvantage, CSCIncspot, etc)
Desired Experience
  • Paralegal Certificate
  • Experience working in an in-house legal department
  • Understanding, knowledge, and experience handling securities, and/or mergers and acquisition matters
  • Understanding, knowledge and experience with international governance requirements and standards
  • Excellent communication and organizational skills as well as strong attention to detail
  • Ability to work both independently and effectively with others, demonstrate good time management skills and ability to monitor and meet deadlines, take ownership of issues and resolution-oriented and flexibility to adapt to changing priorities quickly and comfortably
