Cresco Labs is seeking a Corporate Mergers and Acquisition (M&A) Attorney to join our corporate legal team in Chicago, IL. The Corporate M&A Attorney will be responsible for to providing support on a wide variety of deals, such as securities offerings, bond offerings, and M&A deals. They will also be responsible for drafting reports, M&A transaction documents, agreements and negotiations. Our ideal candidate must have experience in securities law and M&A transactions.


  • Research, review, interpret, draft and negotiate a variety of commercial contracts
  • Draft shareholder agreements, employment and consulting agreements, equity grant agreements, and noncompetition, confidentiality and invention assignment agreements
  • Prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company
  • Maintain working knowledge of Regulation D and market terms in angel and venture capital transactions
  • Provide counsel to business personnel on matters of law and policy, with an emphasis on M&A, real estate and litigation
  • Support the M&A practice with legal expertise on an as-needed basis including regularly drafting alerts on legal and market/deal developments.
  • Prepare, negotiate, and edit distribution, manufacturing, and supply agreements
  • Attract and maintain great relationships with emerging company clients
  • Assist in the development of thought leadership initiatives, drafting articles and legal content for proposals or other business development resources
  • Work cross functionally with all company departments
  • Improve efficiency and quality of the delivery of our M&A legal services


  • J.D. from accredited law school with excellent academic credentials
  • 2- 5 years? experience as a commercial transactional attorney
  • Ability to work efficiently, meet demanding deadlines and balance multiple tasks in a fast-paced environment with minimum supervision
  • Strong negotiation, analytical, and drafting skills
  • Advanced proficiency in MS Excel and MS Office required
  • Prior experience in commercial law and mergers and acquisitions within a production or pharmaceutical industry is a plus


  • Must comply with all legal or company regulations for working in the industry
